strategies stated in the plan from a market perception
point-of-view. |

Assist
in determining the amount of financing required
and the appropriate capital structure for the Company. |

Consistent
with the proposed capital structure, assist in developing
term sheets for the various tranches of financing. |
Step
II - Preparation of Confidential
Information Memorandum and Identification of Potential
Capital Sources

Assist
in making strategic changes to the business plan
as necessary to convert it to a Confidential Information
Memorandum for circulation to potential capital
sources. |

Assist
in describing the key investment and financing considerations,
both merits and risks, associated with the business. |
 |
Assist
in preparation of a Uses of Proceeds section for
the Confidential Information Memorandum. |

Assess
additions or changes necessary to enhance and complete
the Confidential Information Memorandum. |
 |
Develop
a select list of potential capital sources to be
combined with other potential capital sources identified
by the Company. |
Step
III - Marketing
 |
Assist
in contacting potential capital sources and facilitating
communications. |
 |
Prior
to disseminating information, assist in obtaining
executed confidentiality agreements in form and
scope satisfactory to the Company. |

Assist
in distribution of Confidential Information Memoranda
to potential capital sources that execute confidentiality
agreements. |
 |
Assist
in assessment of potential capital sources' receptivity
towards a Financing Transaction. |
Step
IV - Negotiating and Closing
the Financing Transaction
 |
Assist
with development of management presentations and
assembly of data room materials for potential capital
source due diligence meetings. |

Assist
with potential capital source due diligence meetings
and site tours. |
 |
Assist
in ranking and comparing the financing offers you
receive. |
 |
Assist
in negotiations with potential capital sources and
advise the Company with respect to final Financing
Transaction structure and terms. |
 |
Assist
in negotiating definitive financing agreement(s). |
 |
Assist
in closing the Financing Transaction. |
