Step I - Strategic Planning and Due Diligence

bullet Conduct preliminary due diligence on the Company's operations, financial condition and prospects and visit facilities.
bullet Review the Company's industry and the Company's strengths and weaknesses relative to its competitors.
bullet Analyze the Company's business plan and assist in evaluating the assumptions, financial projections, and growth strategy stated in the plan from a market perception point-of-view.
bullet Consult with the Company with respect to value expectations and acceptable transaction structures.

Step II - Preparation of Confidential Information Memorandum and Identification of Potential Buyers

bullet Assist in making strategic changes to the business plan as necessary to convert it to a Confidential Information Memorandum for circulation to prospective buyers.
bullet Assist in determining the key investment considerations associated with the business.
bullet Evaluate additions or changes necessary to enhance and complete the Confidential Information Memorandum.
bullet Develop a select list of potential strategic and financial buyers to be combined with other potential buyers identified by the Company.

Step III - Marketing

bullet Assist in contacting potential buyers and facilitating communications.
bullet Prior to disseminating information, assist in obtaining executed confidentiality agreements in form and scope satisfactory to the Company. 
bullet Assist in distribution of Confidential Information Memoranda to potential buyers that execute confidentiality agreements. 
bullet Assist in assessment of potential buyers' receptivity towards a Sale Transaction. 

Step IV - Negotiating and Closing the Sale Transaction

bullet Advise the Company with respect to transaction structure and nature of consideration. 
bullet Assist with development of management presentations and assembly of data room materials for potential buyer due diligence meetings. 
bullet Assist with potential buyer due diligence meetings and site tours. 
bullet Assist in ranking and comparing the offers you receive.
bullet Assist in negotiations with potential buyers and advise the Company on final Sale Transaction structure and terms.
bullet Assist in negotiating a definitive sale agreement. 
bullet Assist in closing the Sale Transaction.
